Specified Forms and Tips

During the year, the company needs to submit specified documents in respect of any changes in the company particulars and compliance requirement. It includes the form NAR1 Annual Return to the Company Registry within 42 days after the anniversary date of company incorporation with the annual government registration fee of HKD105. Penalties will be incurred if the company fails to deliver the form NAR1 before the deadline. The Annual Return should state the updated company particulars including the details of directors and shareholders, registered office, and shares structures. During the year, if there are any changes in the particulars of directors and the company, the company should inform the Companies Registry within 15 days after the date of change for registration. To submit the related statutory documents successfully, there are some important tips that you would like to pay attention to:

  1. Ensure sufficient postage fee is paid for filing by post
  2. The daily fine may incur for late submission.
  3. E-signatures and duplicate copies are not accepted. Please use wet signatures. 
  4. Do not remove unused pages as the forms should be submitted in full set. 
  5. Use white colour A4 paper.

6. How can I process the payment to Hong Kong Companies registry in person?

You can proceed the payment at the counter with a crossed cheques in Hong Kong Dollars payable to “Companies Registry” or by EPS bank payment or cash payment. 

7. Can I pay the Hong Kong Companies registry by post?

After you prepare the statutory documents and resolution, you can mail the relevant documents and a cheque in Hong Kong dollars to the “Companies Registry”. If you are sending the documents from overseas, you should send a bank draft in Hong Kong Dollars made payable to “Companies Registry”. No cash payment will be accepted by post.

8. What are the delivery channels to submit the Statutory documents?

You can submit the statutory document in person or by post. Alternatively, our incorporation team will be happy to assist you for the necessary filing. 

9. If I file the statutory required documents by post, is my obligation completed?

If a document is delivered by post, the document will not automatically be deemed as a filed. Your filing obligation is still outstanding until the document is successfully uploaded and displayed in the Government system.

10. I mailed the document to the Companies Registry but I forgot to include the payment. What will happen?

Your document will be considered as unsatisfactory documents according to the Company Law in Hong Kong. The Companies will reject your documents. Documents will be returned to the sender. 

11. What are the statutory required documents other than the Specified Forms?

They are court orders, financial statements required by the law, Special Resolutions and legal charges.

12. Am I required to submit the original signed specified forms?

Yes, the Companies Registry requires original signed documents for registration.

13. Do I need to write a cover letter for the submission?

In general, you do not need to write a cover letter unless you have additional information to facilitate the filing process.

14. What is a presenter?

A presenter is the person or company to submit the specified form for registration. In case of any questions, the Companies Registry will contact the presenter for clarification and rectification. Presenter will also be responsible to collect certificates in person. 

16. How long does it take for Companies Registry to register the documents?

It depends on the type of documents. The Companies Registry generally takes 5 working days to process the registration of most of documents. In case of amendment, it usually takes around 1 month.

17. What are the common reasons for the Companies Registry to reject the registration of documents?
